The authority of the Director derives from serving as a voting member of the Board of Directors. Individual Directors have no special privileges, prerogatives, or authority apart from the whole. At the same time, being a Director of AHIMA and member of its Board of Directors is a special trust, and individual directors are expected to meet high standards of personal conduct on behalf of AHIMA.
To qualify for candidacy for the AHIMA Board of Directors, an individual must be an active member in good standing of AHIMA. A majority of the members of the Board of Directors should hold an AHIMA-approved credential. All candidates should demonstrate leadership skills, business acumen, and experience that reflects the Board Attributes. The Nominating Committee might seek candidates with certain types of skills or experience to complement those of continuing Directors, thereby strengthening the Board's overall ability to govern and represent the interests of our diverse membership.
As a candidates, you are required to complete a Conflict of Interest (COI) Director's form and submit to the Volunteer Leadership Development Department at AHIMA on or before the nomination deadline. If you do not, you will not be considered for candidacy.

Term of Office and Time Commitment
Directors serve a three-year term. Members of the Board of Directors attend four board meetings, participate in conference calls, and attend two the Advocacy Leadership Symposia and the AHIMA Convention & Exhibits. The President/Chair-elect and Directors may attend committee and council meetings and may be called on to represent AHIMA at alliance or component state association meetings. Directors devote an average of two to four hours per week to AHIMA.

Board of Directors Meetings
- Prepare for and participate in Board, Committee, committee and other meetings, including two Leadership Symposia and the AHIMA Convention & Exhibits.
- Ask timely and substantive questions at Board, committee and other meetings consistent with your conscience and convictions, while supporting the majority decision on issues decided by the Board.
- Maintain confidentiality of the board's deliberations as indicated and speak for the Board or AHIMA only when authorized to do so.
Avoiding Conflicts
- Serve AHIMA as a whole rather than any special interest group or constituency.
- Avoid even the appearance of a conflict of interest that might embarrass the board or AHIMA and disclose any possible conflicts to the Board in a timely fashion.
- Maintain independence and objectivity and do what a sense of fairness, ethics, and personal integrity dictate.

Fiduciary Responsibilities

Fundraising
- Give an annual gift to the AHIMA Foundation according to personal means.
- Assist the Foundation and staff by supporting fundraising strategies through personal influence with others (corporations, individuals, and foundations).
AHIMA membership, during its annual election, names a new President/Chair-elect who serves a three-year term in the following capacities: the first year as President/Chair-elect, the second year as President/Chair, and the third year as Past President/Chair. The President/Chair chairs the Board of Directors, which governs the association, sets strategy, budget and maintains fiduciary oversight.

The President/Chair-elect chairs board meetings in the President/Chair's absence:

- Works closely with the President/Chair in order to ensure continuity is kept from one year to the next; this may involve the President/Chair-elect attending:
- certain council, committee, or task force meetings, if:
- The President/Chair-elect will benefit from a first-hand understanding of the council/committee's functions
- Issues to be discussed are of a critical nature requiring close Board coordination
- The President/Chair, Chief Executive Officer or Board Liaison requests the presence of the President/Chair-elect
- CSA meetings, as requested
- Meetings of other associations or groups
(The President/Chair-elect will coordinate invitations with the President/Chair and the Chief Executive Officer and handle assignments that are feasible, given one's job commitments, personal interests and AHIMA's needs.)
Meets with the President/Chair and Chief Executive Officer to develop the calendar of association activities, including:

Speaker-elect of the House of Delegates
The House shall elect annually a Speaker-elect. The Speaker-elect must be an Active Member of AHIMA, an AHIMA-approved certificant, and a current or previous member of the House of Delegates. The Speaker-elect supports the HoD along with the Speaker and shall exercise duties as delegated to the office by the House. The Speaker-elect chairs the House Leadership Team and chooses the forum topics. The Speaker-elect shall assume the office of the Speaker upon the expiration of the Speaker’s term of office or in the event of a vacancy in the office.
- Active members holding an AHIMA credential;
- Current or previous member of the HoD. Former past presidents of AHIMA are not eligible for candidacy consideration.
- If elected, the person must resign as a member of the HoD and/or CSA officer. The Speaker-elect is unable to hold a position on the CSA Board or as a CSA delegate during term of office as Speaker-elect and Speaker of the HoD.

- Serves as a moderator for electronic dialogues in the HoD communication platform (that is, State Leaders and House of Delegates Engage Community).
- Acts in place of the Speaker in the event of the absence of the Speaker including chairing the HoD and shall exercise such other duties as may be delegated to the office by the HoD.
- Provides support and closely work with the Speaker in order to ensure continuity from one year to the next by maintaining routine communication
- Participates in AHIMA Board of Directors meetings and conference calls as invited, excluding voting.
Council for Excellence in Education Member (CEE)
Members of the Council for Excellence in Education (CEE) are elected and serve a three- year term. Council members represent academic and workforce stakeholders on behalf of AHIMA.
To qualify for placement on the national ballot, the individual must be an active AHIMA member holding an AHIMA credential.
All candidates are to demonstrate leadership skills and experience that reflect the CEE attributes. The Nominating Committee may seek candidates with certain types of skills or experience to complement those of continuing CEE members thereby strengthening the CEE's overall ability to govern and represent the interests of academic and workforce stakeholders.

High ethical standards in both personal and professional decision-making and acting in the best interest of the CEE. Nominees for the CEE should reflect diversity in age, ethnicity, and gender. In addition, the Council membership should be comprised of associate, baccalaureate, and graduate program educators along with workforce members in leadership positions from any of the innumerable settings in which HIM professionals practice.
Term of Office and Time Commitment
- Council members are elected or appointed to serve a 3-year term.
- Council members must participate in monthly conference calls and attend one annual in-person meeting held at the AHIMA office in Chicago.
- Council members may also serve as a chairperson for one of the CEE workgroups and/or may be required to participate in workgroup meetings.
- Council members may represent the CEE on AHIMA workgroups and/or on special taskforces as assigned.
- Council members may serve as liaison from the CEE to one or more of the AHIMA workgroups or taskforces as assigned.
- Council members’ time commitment varies depending on the needs of the Council and workgroups but is estimated to be 8-10 hours per month.

The Commission on Certification for Health Informatics and Information Management (CCHIIM)
The Commission on Certification for Health Informatics and Information Management (CCHIIM) is an AHIMA commission dedicated to assuring the competency of professionals practicing HIIM. CCHIIM serves the public by establishing, implementing, and enforcing standards and procedures for certification and recertification of HIIM professionals. CCHIIM provides strategic oversight of all AHIMA certification programs. This standing commission of AHIMA is empowered with the sole and independent authority in all matters pertaining to both the initial certification and ongoing recertification (certification maintenance) of HIIM professionals. Members of the CCHIIM serve a three-year term.
All nominees must sign the AHIMA / CCHIIM conflict-of-interest and nondisclosure agreement.
Qualifications:
- Any AHIMA Certified Professional who meets all of the following will be eligible for nomination as a Representative CCHIIM Commissioner:
Requirements for Nomination:
Nominees must meet all criteria as defined below:
• Health Informatics and Information Management (HIIM) Competence: Currently AHIMA-certified in good standing and has been AHIMA-certified member for a minimum of five years.
• HIIM-relevant work: Currently performs HIIM-relevant work, and has a minimum of five years or more performing HIIM- relevant work.
• Leadership Experience: Has documented successful volunteer leadership experience at the Board of Director (or equivalent) level. Examples include: Chair, President, Vice President, Director/Commissioner
/Board Member, etc. Volunteer leadership experience can be demonstrated through participation in both HIIM and other, non-HIIM organizations or associations.
Additional Attributes:
- The main focus is on the profession and ensuring continued relevance of the profession in the future. We need people that can help us achieve this goal. Some specific knowledge areas of need should be:
- Future thinking (awareness of emerging roles and functions)
- Healthcare industry knowledge (not just HIM)
- Understanding of the role of lifelong learning, continuing education, and workforce/professional development
- Global market perspective in HIM or Health Informatics is a plus.
Exclusions to Nomination:
- Any AHIMA Certified Professional who currently performs or represents any of the following exclusions, even though they may meet all of the aforementioned requirements, will be deemed temporarily ineligible for nomination to CCHIIM, until such time that the exclusion can be deemed no longer active.
- Currently serves on the AHIMA Board of Director
- Currently serves on the Commission on Accreditation for Health Information and Informatics Management Education (CAHIIM) Board of Directors, the Council for Excellence in Education (CEE), AHIMA Foundation, or is a paid AHIMA staff member
Note: Individuals currently serving their CSA as an officer or in the House of Delegates or serving on a National AHIMA or affiliate volunteer group are eligible for nomination to CCHIIM, but must complete their term or put in writing that they will resign from their current position prior to the start of the term.
Understandings for Nominations and Service
Participation: Potential nominees understand and agree to abide by CCHIIM prescribed standards for participation and conduct with respect to all CCHIIM activities.
Ethics and Conduct: Potential nominees understand that if appointed or elected, part of the obligation in fulfilling the fiduciary responsibilities to CCHIIM will be to adhere to all CCHIIM governance policies and procedures. This includes reviewing, attesting, and signing all CCHIIM documentation with respect to confidentiality, conflict(s) of interest and disclosure, sexual harassment, and intellectual property rights, as applicable, and as set forth in the policy and procedures.
All nominees must acknowledge their availability to participate in CCHIIM activities as follows (note: Approved expenses for travel to all in-person meetings are covered, including airfare, hotel, and meals):
- CCHIIM conference calls, 1.5 hours, 3 times a year
- Two in-person meetings a year at the AHIMA office in Chicago lasting 2-3 days and typically held in the Spring and the Fall
- One new member orientation lasting half a day and held in conjunction with the Fall CCHIIM in-person meeting
- Take part in workgroup and/or sub-committee calls
